Terms of Service

1. Acceptance of Terms

By accessing or using EazyChat (“Service”), operated by EazyChat (“we”, “us”, or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, you must not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

EazyChat is a social media automation platform that enables users to automate responses to Instagram and Facebook comments and direct messages via the official Meta API. The Service includes comment triggers, DM automation, AI-varied message responses, follow-up scheduling, and message logging.

3. Eligibility

You must be at least 18 years old to use this Service. By using EazyChat, you represent and warrant that you are 18 or older and have the legal capacity to enter into these Terms. If you are using the Service on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.

4. Accounts

You must provide accurate and complete information when creating an account. You are responsible for safeguarding your password and for all activity that occurs under your account. You must notify us immediately at hi@eazychat.app of any unauthorised use of your account. We cannot and will not be liable for any loss or damage arising from your failure to comply with this obligation.

5. Meta Platform Compliance

EazyChat operates exclusively through the official Meta API. By using the Service you agree to comply with Meta's Platform Policy and Terms of Service. You are solely responsible for ensuring your automations comply with Meta's messaging policies, including Instagram and Facebook community standards and spam policies.

6. Acceptable Use

You agree not to use the Service to:

  • Send spam, unsolicited messages, or deceptive communications.
  • Violate any applicable law, regulation, or third-party rights.
  • Harass, abuse, or harm any person.
  • Distribute malware or harmful code.
  • Attempt to gain unauthorised access to any part of the Service.
  • Reverse-engineer, decompile, or attempt to extract source code.
  • Use the Service in a way that could damage, disable, overburden, or impair it.
  • Circumvent any rate limits or usage quotas imposed by Meta or EazyChat.

We reserve the right to suspend or terminate accounts that violate these restrictions without notice.

7. Subscription Plans and Billing

EazyChat offers both a free tier and paid subscription plans (“Plans”). Paid Plans are billed monthly in advance. By subscribing to a paid Plan, you authorise us to charge your payment method on a recurring basis. All fees are non-refundable except as required by law or as expressly stated in these Terms.

We may change our pricing at any time with at least 30 days' notice by email. Your continued use of the Service after a price change constitutes your acceptance of the new pricing.

You may cancel your subscription at any time from your billing portal. Cancellations take effect at the end of the current billing period. Your account will retain access until the end of the paid period.

8. Message Quotas

Each Plan includes a monthly message allowance. Message counts reset at the start of each billing cycle and unused messages do not roll over. If you exceed your plan limit, automated messages will be paused until the next billing cycle or until you upgrade your plan.

9. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of EazyChat and its licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Service in accordance with these Terms.

You retain ownership of any content you create and send through the Service. By using the Service, you grant EazyChat a limited licence to process and transmit your content solely to provide the Service.

10. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

We are not responsible for delays, failures, or interruptions in the Service caused by Meta API outages, changes to Meta's platform policies, or events outside our reasonable control.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EAZYCHAT AND ITS DIRECTORS, EMPLOYEES, PARTNERS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO EAZYCHAT IN THE 12 MONTHS PRIOR TO THE CLAIM OR (B) $100 USD.

13. Indemnification

You agree to indemnify, defend, and hold harmless EazyChat and its affiliates, officers, agents, and employees from any claim, liability, damage, loss, or expense (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party, including Meta's platform policies.

14. Termination

We may terminate or suspend your account at any time, with or without cause and without notice, including for violation of these Terms. Upon termination, your right to use the Service will immediately cease. You may delete your account at any time by contacting us at hi@eazychat.app.

15. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be resolved through good-faith negotiation between the parties. If resolution cannot be reached, disputes shall be submitted to binding arbitration.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes by email or by posting a notice on our website. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
